Tearmann Society for Abused Women held an Annual General Meeting on June 16, 2016.  Highlights of the meeting included the official launch of the Tearmann website by Executive Director Donna Smith and staff member Patricia Perry.  Also, during the meeting, The Bursary Committee announced that Melissa Fanning is the recipient of the Joanne Kohout Memorial Bursary.  CONGRATULATIONS Melissa!

AGM Briefing Note

By-laws Revision: The By-laws and proposed revisions will be distributed with the meeting material, and a notice of the amendments will be posted/advertised as required by Section 11 of the By-laws. The Governance Committee has recommended changes to several By-laws and these revisions have been reviewed by the Board of Directors. The Board has endorsed the revised By-laws to be brought forth at the Annual General Meeting for approval of the membership.

The Governance Committee reviews the By-laws regularly to ensure they:

  • are in line with our governing legislation and model of board governance;
  • are current and reflect any recent changes and governance updates that have been made;and
  • have simple and easy-to-read language.

BE IT RESOLVED THAT the membership of Tearmann Society for Abused Women approves the revised Bylaws as presented at the June 15, 2016 Annual General Meeting

AGM Motion Proposed Motion:

BE IT RESOLVED THAT the Board of Directors of Tearmann Society for Abused Women revise Section 34 of the by-laws to include, when possible, the Past Chairperson as a member of the Executive Committee.

Rationale: 

  • To allow the Board to benefit from the wisdom and experience of the Past Chairperson
  • To act as a mentor to the incoming Chairperson
  • To provide continuity and thereby ease the transition

Section 34 currently reads:

The Executive Committee shall consist of the Chairperson, Vice-Chairperson, Treasurer and Secretary and other such persons as the Directors decide. The offices of Treasurer and Secretary may be combined.

Suggested Revisions to the Section 34 bolded and underlined

The Executive Committee shall consist of the Chairperson, Vice-Chairperson, Treasurer, Secretary and immediate Past-Chair (if Past Chair remains an active Board member), and other such persons as the Directors decide. The offices of Treasurer and Secretary may be combined.

AGM Motion Proposed Motion:

BE IT RESOLVED THAT

the Board of Directors of Tearmann Society for Abused Women revise Section 39 of the by-laws to reflect the operating features of the Complementary Model of Board Governance which the Board uses to guide its work.

Rationale:

  • The Complementary Model of Board Governance acknowledges the minutes of Board meetings as legal documents that must be maintained and stored according to our policies and therefore state this role should be a duty of an employee of the Society and not a volunteer.
  • In practice the minutes have been recorded by the Secretary of the Board of Directors (a volunteer) and forwarded to the Executive Director (staff) for review. The Executive Director distributes the minutes to the Board and is responsible for their safe storage.
  • We have added the word “may” to reflect the variations in practice that individual boards may adopt to ensure the proper maintenance of the board’s proceedings.

Section 39 currently reads: The Secretary shall attend all meetings of the Society, the Board of Directors and the Executive Committee and keep proper minutes of the proceedings and do such things as may be delegated to the Secretary by the Board of Directors or the Executive Committee.

AGM Motion Proposed Motion:

BE IT RESOLVED THAT the Board of Directors of Tearmann Society for Abused Women revise Section 40 of the by-laws to reflect more accurately reflect responsibilities of the Treasurer’s role.

Rationale:

  • The Complementary Model of Board Governance acknowledges the financial records of the Society as legal documents that must be maintained and stored according to our policies and therefore state this role should be a duty of an employee of the Society and not a volunteer.
  • Depending on the needs of the Society the Treasurer may provide more or less support, and take on greater or fewer duties as required. The amended motion clarifies that the Treasurer’s role is to ensure proper books of account are maintained by staff with the Treasurer’s support.

Section 40 currently reads: The Treasurer shall carry out such duties as assigned by the Board of Directors and such duties may include the deposit of monies in a Chartered Bank to the credit of the Society; the safe keeping of any and all securities of the Society in a manner as directed by the Board and attend to the payment of Society accounts/expenses as directed. The Board, at each Annual Meeting, may appoint signing officers as it deems appropriate and the Treasurer may be appointed as signing officer. The Treasurer shall keep proper books of account and shall furnish, from time to time, such statements in detail of the affairs of the Association or such other matters as may be directed by the Board of Directors or the Executive Committee. If the Board requires, the Treasurer shall be bonded in such amount as may be required from time to time by the Board.

  • The Board of Directors has different types of committees and this by-law does not differentiate.

Section 44 currently reads:

The Board of Directors may appoint Committees and delegate such Committees such power and duties as, in their discretion, they deem appropriate. In all cases, the Board of Directors must name one of their members as Chairperson of such Committees.

Suggested Revisions to the Section 44 bolded and underlined:

AGM Motion Proposed Motion:

BE IT RESOLVED THAT the Board of Directors of Tearmann Society for Abused Women revise Section 45 of the by-laws to reflect the correct job title.

Rationale: 

The correct designation should be “Chartered Professional Accountant”.

Section 45 currently reads: A chartered accountant shall be appointed annually by the members of the Society at the annual general meeting and on failure of the members to appoint an accountant, the Directors may do so.

Suggested Revisions to the Section 45 bolded and underlined:

A Chartered Professional Accountant shall be appointed annually by the members of the Society at the annual general meeting and on failure of the members to appoint an accountant, the Directors may do so.

The chartered accountant so engaged shall be given access to all books, vouchers and accounts of the Society and all documents having reference to the business thereof. It shall be his/her duty to examine same and to prepare financial statements to be presented to the members at the next annual general meeting of the Society and to make such further reports as the Directors may from time to time require and to do such further and other matters as may be required by the Directors. A copy of the balance sheet showing the general particulars of the liabilities and assets of the Society and a statement of its income and expenses in the preceding years as reviewed by the chartered accountant shall be filed with the Registrar within fourteen days after the annual meeting in each year as required by law.

Breaking the Silence!

Exciting news!

Bonnie Cotter starts May 31, 2016 with Pictou County Women’s Resource and Sexual Assault Centre in the her new role as Navigator for our Breaking the Silence Grant funded through Nova Scotia Department of Community Services . 

Within, this position, Bonnie will work within our centre and closely with our grant partners, Family Services, Pictou County Centre for Sexual Health and Tearmann Society as we work together towards an improved response to sexualized violence in Pictou County.   

Congratulations, Bonnie.

With less than a month to go, the Celebration of Art Committee is hard at work with preparations.   The Celebration of Art is May 6th at 7:00 p.m.  This is always an exciting event that showcases such talented artists who generously support Tearmann Society each year.   Tickets are available from any Board Member or at Big Al's convenience store for $30.   Get your tickets before they sell out!!

Tearmann's Celebration of Art

Tearmann's Celebration of Art is one of our major annual fundraisers.  The organizing committee is working hard at putting together a fantastic event. The Celebration of Art is always a great night out to socialize and to see (& win) some fantastic artwork.  Pictou County has some wonderfully talented artists who support this event each year and Tearmann Society is grateful for their generous contributions.

The Board, staff and residents are so grateful that we were nominated to present at the January meeting of 100 Women Who Care, Pictou County.  Acting Executive Director, Donna Smith presented alongside Silent Witness Pictou County and Pictou County Trails Association.  All 3 presentations were great and it was difficult to choose.  We were very pleased and excited to have been selected as the "winning" group to receive $10,700.

These funds are assisting in a much needed technology upgrade at Tearmann House.  Since receiving the funds in January, the upgrades have begun and the residents now have internet access.  This has made a big difference in their ability to do housing searches, online banking, prepare for court and income assistance appointments.  THANK YOU, 100 Women Who Care, Pictou County!  We look forward to the next meeting to see how we can offer our support to another deserving non profit organization.
